1. GENERAL TERMS OF USE

  • You fully understand and agree that ITAR and/or EAR regulations apply to products sold by ClaytonNV.

 

 

2. EXPORT CONTROL COMPLIANCE (ITAR / EAR)

ClaytonNV sells products that may be regulated under:

  • The International Traffic in Arms Regulations (ITAR); and/or

  • The Export Administration Regulations (EAR).

By using this Website or purchasing any product, you expressly acknowledge and agree that:

  • No products, technical data, or services may be exported, re-exported, transferred, or disclosed to any foreign person (as defined by ITAR/EAR), foreign entity, or foreign country without prior written authorization from the U.S. Department of State or Department of Commerce, as applicable;

  • You will not resell, transfer, loan, gift, or otherwise dispose of any ITAR/EAR-controlled product without full compliance with U.S. export laws;

  • You accept full legal responsibility for compliance with all applicable export control laws;

  • ClaytonNV reserves the right to cancel any order, deny service, or request additional documentation to verify eligibility.

Any violation of ITAR or EAR is a serious federal offense and may result in civil and criminal penalties.

 

 

3. ACCOUNT REGISTRATION

You may create an account by providing complete, accurate, and truthful information. You may also browse certain portions of the Website without an account.

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials;

You must immediately notify ClaytonNV if you suspect unauthorized access, disclosure, or misuse of your account.

All Website content—including text, images, specifications, trademarks, logos, and technical data—is owned by ClaytonNV or its licensors and is protected by U.S. and international intellectual property laws.

You may not:

8. ORDER SUBMISSION & CONTRACT FORMATION

Submitting an order constitutes a legally binding agreement to pay all listed charges.

ClaytonNV reserves the right to:

  • Cancel or delay orders for compliance review;

9. PAYMENT & OWNERSHIP

Title and ownership remain with ClaytonNV until full payment is received.

 

 

10. DELIVERY

  • Shipping is limited to addresses within the United States;

  • No PO Boxes are accepted;

  • Risk of loss transfers upon delivery to the carrier.

You must inspect shipments immediately and report issues promptly.

 

 

11. FAILURE OF DELIVERY

ClaytonNV is not responsible for delays or errors caused by incorrect customer information or third-party carriers not selected by ClaytonNV.

Additional delivery attempts may incur fees.

 

 

LIABILITY, DISCLAIMERS & INDEMNIFICATION

12. DISCLAIMER OF WARRANTIES

The Website and all services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

ClaytonNV disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

 

 

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, ClaytonNV shall not be liable for indirect, incidental, consequential, or punitive damages.

Total liability shall not exceed the amount paid by you to ClaytonNV in the preceding 12 months.

You agree to defend, indemnify, and hold harmless ClaytonNV and its affiliates from any claims arising from:

  • Export control violations;

  • Misuse or unlawful transfer of products;

  • Breach of these Terms;

15. EU USERS

Users located in the European Union are prohibited from using this Website or purchasing products.

 

 

GENERAL PROVISIONS

16. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the State in which ClaytonNV is registered, without regard to conflict-of-law principles.

 

 

17. DISPUTE RESOLUTION & ARBITRATION

Any dispute not resolved informally shall be resolved by binding arbitration in the county where ClaytonNV is registered.

Invalid provisions shall not affect enforceability of remaining terms.

Indemnification, liability limitations, and export-control obligations survive termination.
